Terms and Conditions

1. Acceptance of Terms

By registering an account, clicking “I Agree”, subscribing to a billing plan, or accessing Briah Tech Clinic SaaS (“Service”), the healthcare organization (“Customer” or “Tenant”) agrees to be bound by these Terms and Conditions.

If you are entering into these terms on behalf of a clinic, hospital, dispensary, laboratory, or healthcare network, you represent that you have legal authority to bind that entity.

2. Account Registration & Organization Security

Tenants are responsible for maintaining the confidentiality of staff login credentials, enforcing strong passwords, enabling Multi-Factor Authentication (MFA) for administrative and clinician roles, and immediately revoking access for departing employees.

3. Subscriptions, Fees & Payment Terms

Subscription tiers (Starter, Growth, Enterprise) are billed on a recurring monthly or annual basis.

• Payment Methods: We accept M-Pesa STK push, corporate cards, and direct bank wire transfers for annual plans.
• Free Trial: Free trial periods provide full platform access for 14 days without upfront commitment.
• Taxes & Currency: All invoices are denominated in Kenya Shillings (KES) or USD and include applicable statutory taxes (VAT) as specified during checkout.
• Late Payments: Accounts with past-due balances will receive a 7-day grace notice before workspace suspension.

6. Service Level Agreement (SLA) & Uptime

We commit to maintaining a 99.9% monthly uptime target for core clinical and EMR operational modules. Scheduled maintenance is performed during off-peak hours (typically 01:00 to 04:00 EAT) with at least 48 hours advance notice via in-app administrative broadcasts.

7. Acceptable Use Policy

You agree not to:

• Reverse engineer, decompile, or extract source code from the Service.
• Bypass multi-tenant isolation safeguards, rate limits, or RBAC controls.
• Transmit malicious code, viruses, automated scrapers, or security probing bots.
• Store fraudulent medical claims or unverified controlled drug dispensations.

8. Cancellation, Suspension & Data Export

You may cancel your subscription at any time via the Tenant Settings portal. Upon termination:

• You have 30 days to export all patient charts, invoices, and diagnostic records in standard formats (CSV, PDF).
• After 30 days, tenant database records are securely decommissioned in accordance with statutory data retention guidelines.

9. Limitation of Liability

To the maximum extent permitted by law, Briah Tech shall not be liable for any indirect, incidental, special, or consequential damages, loss of profits, loss of data, or medical malpractice claims resulting from practitioner clinical errors. Our total aggregate liability under any claim shall not exceed the subscription fees paid by the tenant in the twelve (12) months preceding the event.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute arising out of or in connection with these Terms shall first be submitted to good-faith mediation, and if unresolved within 30 days, to binding arbitration in Nairobi, Kenya.
